MUMBAI, July 14, 2026 — Aditya Birla Renewables Limited (ABRen) has agreed to buy Sprng Energy, Shell's Indian renewable power platform, for $1.8 billion. The deal, worth roughly ₹17,200 crore, ranks among the largest renewable energy transactions India has ever seen — and it pushes the Aditya Birla Group squarely into the country's top tier of clean energy players.

Under the Share Purchase Agreement, ABRen — the clean energy arm of Grasim Industries — will take full ownership of Solenergi Power Private Limited (SPPL), the Mauritius-based entity that holds Sprng Energy. The seller is Shell Overseas Investment B.V., a wholly owned Shell Plc subsidiary.

The enterprise value comes to ₹17,200 crore, or about $1.8 billion. What Shell actually pockets will depend on adjustments for debt, cash and other standard deal mechanics, and the transaction still needs to clear customary closing conditions, including net debt and capital expenditure adjustments.

ABRen plans to fund the purchase through a combination of debt and fresh equity, with backing from Grasim and Global Infrastructure Partners (GIP) — BlackRock's infrastructure investment arm and already a strategic investor in ABRen.

What Sprng Energy Brings to the Table

Sprng Energy runs solar, wind and hybrid projects across Gujarat, Rajasthan, Madhya Pradesh, Karnataka and Tamil Nadu, selling power to distribution companies nationwide. Its contracted portfolio totals roughly 5 GWp — 3.3 GWp already operating, 1.7 GWp under construction — plus a development pipeline and grid connectivity assets.

Add that to ABRen's existing 4.4 GWp footprint, and the combined platform reaches approximately 9.3 GWp. That puts it among the largest renewable energy operations in India, full stop.

Why Both Sides Are Saying Yes

For ABRen, this is about buying scale rather than building it one project at a time. The company says the acquisition pairs its strength in commercial and industrial (C&I) renewables with Sprng's utility-scale platform, calling it a chance "to expand its renewable energy footprint through the acquisition of an established platform, rather than developing projects on a greenfield basis."

Shell's motivation runs the other direction. The sale fits the company's global push to trim its power business and redirect capital toward higher-return bets. There's also a tidy symmetry to the timing: Shell bought Sprng Energy from private equity firm Actis in 2022 for about $1.55 billion. Four years later, it's exiting at a premium.

A Crowded Bidding Table

Aditya Birla didn't win this uncontested. KKR and Actis reportedly circled the asset, as did a consortium pairing Temasek with the National Investment and Infrastructure Fund (NIIF). Aditya Birla came out on top anyway, submitting a binding financial offer that made it the preferred bidder.

What Leadership Is Saying

Aditya Birla Group Chairman Kumar Mangalam Birla framed the deal as continuity with the conglomerate's industrial history. "Over a long arc of time, the Aditya Birla Group has built businesses at global scale that have contributed to India's long-term growth, be it in building materials, metals, financial services, or retail," he said. "We view India's energy transition through the same lens." He added that the acquisition is "about strengthening our nation's energy future, enhancing industrial competitiveness, and creating the foundations for sustained economic growth."

Birla isn't stopping at 9.3 GWp, either. "Together, we will have a diversified portfolio and a deep development pipeline that puts us on course to scale to 20 GW-plus in the coming years," he said. "More importantly, it positions us to participate meaningfully in one of the largest energy transformations underway anywhere in the world."

Aryaman Vikram Birla, Director at Aditya Birla Group and ABRen, called the transaction "a pivotal moment in ABRen's evolution, rapidly accelerating our ambition to build a top-tier renewable energy platform at national scale." The company, he noted, had nearly hit its original 10 GWp target ahead of schedule. "We are now on track to double capacity in the next few years," he said. "This step-up reflects not just scale, but a sharper focus on quality, execution, and long-term value creation."

ABRen Business Head Jayant Dua pointed to the operational upside — combining strengths across project development, engineering, procurement, construction and asset management.

Jobs and Timing

Shell has told Sprng Energy's workforce that jobs are safe. All staff will stay on under the new ownership, the company said, to keep operations running smoothly through the transition.

The deal still needs regulatory sign-off — from the Competition Commission of India (CCI) and the Central Transmission Utility of India Limited. Both companies are targeting a close before the end of 2026, assuming approvals come through on schedule.

The Bigger Picture

Two forces are colliding here. Indian conglomerates are racing to build renewable scale as the country chases its clean power targets, and global majors like Shell are reshaping their portfolios around assets that pay off faster. Aditya Birla Group — already entrenched in cement, metals, financial services and retail — just made its boldest move yet to join India's clean energy front rank.
